1.7 Work: everything Suspiciously Fast creates for an assignment, such as photos, videos, designs, copy, websites and software, including works within the meaning of the Dutch Copyright Act.
1.8 In writing: by letter, by email or through the client portal, as long as it is clear who the message is from.
1.9 Client portal: Suspiciously Fast's online environment where the client sees quotes, invoices, tasks and files.
Article 2. Applicability
2.1 These terms apply to all quotes, agreements and deliveries of Suspiciously Fast.
2.2 Part A always applies. Part B also applies to photo and video, part C to websites, software and automation.
2.3 Deviations only apply if agreed in writing. What the quote states takes precedence over these terms.
2.4 General terms of the client or of others do not apply.
2.5 If a provision is invalid, the other provisions remain in force. The parties then agree on a replacement that comes as close as possible to the original intention.
Article 3. Quotes
3.1 Quotes are without obligation, unless the quote states otherwise.
3.2 A quote is valid until the date stated in it. If no date is stated, the quote is valid for 7 days.
3.3 Obvious mistakes or errors in a quote do not bind Suspiciously Fast.
3.4 A quote does not automatically apply to a follow-up assignment or repeat order.
Article 4. Formation of the agreement
4.1 The agreement is formed as soon as the client accepts the quote in writing, for example with the acceptance button in the client portal.
4.2 If the client lets Suspiciously Fast start the assignment without written acceptance, the quote is deemed accepted.
4.3 Suspiciously Fast may refuse or end an assignment if new information reasonably makes it impossible to carry out. Work already done is then invoiced proportionally.
Article 5. Cooling off period for consumers
5.1 If a consumer enters into the agreement at a distance, for example by email or through the client portal, the consumer has a cooling off period of 14 days.
5.2 If the consumer wants Suspiciously Fast to start within the cooling off period, Suspiciously Fast asks for explicit consent. If the consumer then still cancels, the consumer pays for the part already carried out.
5.3 If the assignment has been fully carried out within the cooling off period with that consent, the cooling off period lapses.
Article 6. Execution
6.1 Suspiciously Fast carries out the assignment to the best of its ability, with good craftsmanship and in Suspiciously Fast's own style.
6.2 Suspiciously Fast has an obligation of effort and not an obligation of result, unless explicitly agreed otherwise.
6.3 The assignment starts after the client's acceptance and, if agreed, after payment of the deposit.
6.4 The client provides the right information, access, materials and cooperation in good time. Extra costs caused by delays on the client's side are borne by the client.
6.5 Suspiciously Fast may engage others for the assignment, such as a second photographer, an editor or a developer.
6.6 Stated deadlines are an indication and not strict deadlines. If a deadline is likely to be exceeded, the parties agree on a new reasonable deadline together.
Article 7. Changes and additional work
7.1 Changes after acceptance only apply if both parties agree. A change may affect the price and planning.
7.2 Requests outside the quote are additional work. Suspiciously Fast reports additional work in advance and charges it at the usual rate, unless agreed otherwise.
7.3 An assignment includes the revision rounds stated in the quote. If nothing is stated, that is 2 rounds. Extra rounds are additional work.
Article 8. Cancelling and rescheduling
8.1 A shoot or appointment on a fixed date can be cancelled or rescheduled free of charge up to 48 hours in advance.
8.2 When cancelling within 48 hours, the client pays the full agreed amount for that shoot. Rescheduling within 48 hours counts as cancelling.
8.3 If the client stops an ongoing project, such as a website, the client pays for work already done and costs Suspiciously Fast has already incurred.
8.4 If no amount has been agreed for the assignment, Suspiciously Fast's usual rate applies.
Article 9. Prices
9.1 Prices for business clients exclude VAT. Prices for consumers include VAT.
9.2 Prices apply per hour, per day or per project, as stated in the quote.
9.3 A total price is an estimate, unless a fixed price has been agreed in writing. An estimate may be exceeded by no more than 10%. If a larger overrun is likely, Suspiciously Fast consults the client first.
9.4 Suspiciously Fast may adjust its rates. For ongoing subscriptions Suspiciously Fast announces this at least 1 month in advance; the client may then cancel as of the date the new price takes effect.
Article 10. Travel and parking costs
10.1 Travel costs are € 0.35 per kilometre, calculated from Rotterdam, unless the quote states otherwise.
10.2 Parking and permit costs are borne by the client.
10.3 The distance is calculated with a common route planner.
Article 11. Payment
11.1 Invoices are paid within 14 days of the invoice date, by bank transfer or with iDEAL through the client portal.
11.2 Suspiciously Fast may ask for a deposit. The amount is stated in the quote.
11.3 Subscriptions, such as hosting and maintenance, are invoiced in advance per month or per year.
11.4 The work is delivered once the invoice has been paid in full, unless agreed otherwise.
11.5 No money is refunded for services already performed, except where the law requires it.
Article 12. Late payment
12.1 If a business client does not pay on time, the client is in default without a reminder and owes the statutory commercial interest.
12.2 A consumer first receives a payment reminder with a term of 14 days. If the consumer still does not pay, the statutory interest is due.
12.3 Collection costs are calculated according to the statutory scale.
12.4 Suspiciously Fast may suspend the work as long as a due invoice has not been paid.
12.5 In case of bankruptcy, suspension of payments or seizure at the client, all claims become due immediately.
Article 13. Force majeure
13.1 If Suspiciously Fast cannot keep an agreement due to force majeure, for example illness, an accident, extreme weather or an outage at another company, the parties look for a new date together.
13.2 In case of illness, Suspiciously Fast tries to arrange an equivalent replacement in consultation with the client.
13.3 If a new date cannot be found within a reasonable period, either party may terminate the agreement. The client gets back what it already paid for the part that was not carried out.
Article 14. Liability
14.1 Suspiciously Fast is only liable for direct damage resulting from a shortcoming attributable to Suspiciously Fast.
14.2 Liability is limited to the amount invoiced for the assignment. For a subscription, that is the fee over the last 6 months.
14.3 Suspiciously Fast is not liable for indirect damage, such as consequential loss, lost revenue or loss of the client's data.
14.4 These limitations do not apply in case of intent or deliberate recklessness on the part of Suspiciously Fast, nor to the extent that the law gives consumers more protection.
14.5 The client indemnifies Suspiciously Fast against claims by others regarding material supplied by the client, such as copy, images, music and logos.
Article 15. Privacy and confidentiality
15.1 Suspiciously Fast processes personal data in accordance with the GDPR, and only for the assignment, its accounts and contact with the client.
15.2 If Suspiciously Fast processes personal data on behalf of the client, for example in a website or client system, the parties enter into a data processing agreement where required.
15.3 The parties keep each other's confidential information secret, also after the assignment has ended.
Article 16. Complaints
16.1 The client reports complaints about delivered work in writing within 7 days of delivery, via info@suspiciouslyfast.nl or the client portal. A consumer has 2 months after discovering the defect.
16.2 A complaint does not suspend the obligation to pay.
16.3 If a complaint is justified, Suspiciously Fast repairs the work or delivers it again. If that no longer makes sense, the client receives a reasonable discount.
16.4 If the client uses the work during the process or after delivery without complaining, this counts as approval.
Article 17. Governing law and disputes
17.1 All agreements are governed by Dutch law.
17.2 The parties first try to resolve a dispute together.
17.3 Disputes are submitted to the competent court in the district of Rotterdam. A consumer may, within 1 month after Suspiciously Fast invokes this article, choose the court that is competent by law.
Part B. Photo and video
Applies in addition to part A to photography, video, reels and drone footage.
Article 18. Shoots and location
18.1 The client is responsible for the location, including permission from the owner and any permits.
18.2 The client ensures good conditions during the shoot, such as a tidy space and the agreed people present on time.
18.3 In case of bad weather for an outdoor shoot, the client provides an alternative, or the parties reschedule the shoot in consultation. The article on cancelling and rescheduling still applies.
18.4 Suspiciously Fast only captures drone footage if the rules, the location and the weather allow it. Suspiciously Fast decides whether flying is safe and permitted.
18.5 Suspiciously Fast carries out specific shot requests if circumstances allow. Suspiciously Fast does not guarantee that all requested shots can be captured.
Article 19. People on camera
19.1 The client ensures that people photographed or filmed on behalf of the client, such as employees and customers, know this in advance and give consent where needed.
19.2 If someone does not want to be recognisable, Suspiciously Fast takes this into account if the client reports it in advance.
19.3 Suspiciously Fast only uses recognisable people in its own portfolio with their consent.
Article 20. Delivery of photo and video
20.1 Photos are delivered as JPG, in high resolution and in a version for web and social media. Videos are delivered as MP4, in the formats from the quote, for example landscape (16:9) and portrait (9:16).
20.2 Delivery is digital, via a download link or the client portal. A download link is valid for at least 30 days. After that, the client stores the files itself.
20.3 The delivery time is an indication: about 1 week for photos and about 2 weeks for videos after the shoot.
20.4 Suspiciously Fast makes the selection and edits in its own style, with basic editing of colour and light among other things. Extra retouching or post-production is additional work.
20.5 Videos include the revision rounds from the quote, 2 by default. A revision is an adjustment within the agreed idea; a new idea is additional work.
20.6 RAW files, unselected shots and project files are not part of the delivery. They are available for an additional fee, as long as they still exist.
Article 21. Right of use for photo and video
21.1 The copyright on photos and videos remains with Suspiciously Fast, unless agreed otherwise in writing.
21.2 After full payment, a business client receives a non-exclusive and non-transferable right of use for the purpose in the quote. If nothing is stated there, the client may use the work without time limit for its own business communication: website, social media (including paid ads), newsletters, presentations and print.
21.3 A consumer receives a right of use for private use after full payment.
21.4 Use by or for others, resale, use as stock material and large advertising campaigns (such as television and outdoor advertising) require written permission and may involve an additional fee.
21.5 The client may crop photos and videos and change their format. Other edits, such as filters, re-editing or editing with AI, are only allowed with Suspiciously Fast's permission.
21.6 Music in videos is royalty free or licensed. That licence only applies to the video as delivered.
Article 22. Portfolio and storage
22.1 Suspiciously Fast may use the work for its own portfolio and promotion, such as Suspiciously Fast's website and social media, unless the client refuses this in writing in advance.
22.2 Suspiciously Fast keeps delivered work for at least 3 months after delivery. After that, Suspiciously Fast is not obliged to keep files.
Part C. Websites, software and automation
Applies in addition to part A to websites, online stores, software, integrations, AI applications, hosting and maintenance.
Article 23. Development and delivery
23.1 Suspiciously Fast builds the website, software or automation according to the quote and the agreements in the client portal.
23.2 After delivery the client has 14 days to test and report errors. If the client reports nothing, or uses the work live, it is deemed accepted.
23.3 Errors reported within those 14 days that deviate from the agreements are fixed by Suspiciously Fast free of charge. New wishes are additional work.
23.4 Suspiciously Fast does not guarantee that software works without errors or interruption, nor a particular position in search engines or a particular revenue.
Article 24. Client content
24.1 The client supplies copy, images, logos and data on time and holds the rights to them.
24.2 The client is responsible for the content of the website, including legal texts such as a privacy policy and cookie notice, unless Suspiciously Fast creates these according to the quote.
24.3 If the client changes something itself, for example in the content management system, the client is responsible for it.
Article 25. Hosting, domain names and maintenance
25.1 Hosting, maintenance and other subscriptions run per month or per year, as stated in the quote, and are then automatically renewed each time.
25.2 A business client can cancel a subscription as of the end of the term, with a notice period of 1 month. A consumer can cancel at any time after the first term, with a notice period of 1 month.
25.3 Domain names are registered in the client's name where possible. After cancellation Suspiciously Fast cooperates with a transfer, once all invoices have been paid.
25.4 Suspiciously Fast makes regular backups. The client remains responsible for keeping its own copy of important data.
Article 26. Third party services
26.1 Suspiciously Fast uses services of other companies, such as hosting, payment services, email and AI. The terms of those companies also apply to those services.
